Corporate Valuation Advisors, Inc. specializes in the valuation of ongoing businesses and the assets associated with those businesses. The need for our services arise most often in the context of mergers and acquisitions. In connection with mergers and acquisitions, our services often include (i) the establishment of a transaction price, (ii) an evaluation of the fairness of an agreed-upon price, (iii) the issuance of a solvency opinion in connection with the financing of the transaction and (iv) an allocation of the purchase price for compliance with tax and financial reporting requirements. The nature of certain of these services requires both a valuation of the ongoing company as well as a valuation of its underlying assets. Typical assets appraised include real estate, machinery and equipment and intangible assets such as customer lists, patents, copyrights, other forms of intellectual property, favorable contracts, lease arrangements, license agreements and franchises.
We are also active in the area of ad valorem taxation. Our property tax service group has successfully effected major reductions in both real estate and tangible personal property tax assessments for large commercial and industrial properties. In addition, since 1999 Corporate Valuation Advisors has offered a full-service, property tax compliance outsourcing solution to our clients. We file property tax returns in every U.S. state that assesses an ad valorem tax and support our clients' filing positions as a natural extension of our ad valorem consulting practice.
